1.1. Platform purpose

The platform ("we") is built for academic purposes, technology research, algorithm testing, data simulation, and education only. We DO NOT provide gambling, wagering, financial trading, or fundraising services. All tools and data on the platform are purely simulated, do not reflect real market conditions, and do not constitute investment advice.

1.2. User acknowledgements

By accessing and using the platform, you agree and confirm that:

• You are at least 18 years old as required by Vietnamese law.
• You will not use the platform for wagering, real-world investing, or to generate profit from simulated results.
• You will use the platform only for educational, research, testing, or simulation purposes.
• If you do not agree with any part of these terms, please stop using the platform immediately.

1.3. Language and scope

These Terms apply to all users accessing from Vietnam or Vietnamese users. The platform may support multiple languages, but the Vietnamese version is the official legal version for use in Vietnam.

2.1. Account registration

• Users must provide accurate, complete, and up-to-date information when registering.
• The platform reserves the right to refuse or suspend accounts if false or invalid information is detected.

2.2. Account security

• Users are responsible for securing their passwords, login devices, and all activity arising from their accounts.
• Any breach or suspicious activity must be reported to us immediately.

2.3. Prohibition on soliciting, recruiting or commercial exploitation

Users are not permitted to invite or instruct others to:

• Engage in wagering, gambling, financial trading, or real-world investing.
• Use platform data to derive real-world profit through unlicensed organizations or investment schemes.
• Create paid services based on the platform's simulations, signals, or data.

3.1. License to use

The platform grants a limited, non-transferable, revocable right to use. This right is for educational, research, and simulation testing purposes only and not for commercial use.

3.2. Use restrictions

You are not permitted to:

• Use the platform for wagering, investing, or trading with real money.
• Provide financial advice, buy/sell signals, or betting odds.
• Collect funds, form investment pools, or build unlicensed financial investment systems.
• Extract platform data for distribution or sale.
• Use simulations to obtain profit outside the platform.

3.3. Platform rights

The platform reserves the right to modify, suspend, or revoke access of any user who violates these terms without prior notice.

4.1. User content

"User content" includes all information, data, algorithms, models, or comments you submit to the platform.

Users are fully responsible for such content, including its accuracy, completeness, and legality.

Any content may be removed without prior notice if it violates the Terms of Use.

4.2. Public and private content

• Public content: all data, posts, or comments visible to other users.
• Private content: data shared directly with another user or accessible only upon login.
• Users agree that the platform may use and store public content for operational and development purposes.

4.3. Acceptable use policy

Users are not permitted to:

• Submit content that is unlawful, infringes intellectual property rights, violent, pornographic, discriminatory, or insulting to individuals/organizations.
• Create or distribute malware, viruses, spam, unauthorized advertising, or harvest other users' data.
• Interfere with or sabotage the platform's systems, network, or databases.
• Impersonate others or falsely claim authority.
• Use automated software to access, copy, or monitor platform data.

4.4. Handling violations

The platform may delete or edit content, or terminate accounts if violations are detected.

Users agree to indemnify the platform if they cause damages, including legal costs, economic loss, or data loss.

4.5. Feedback and suggestions

If users provide feedback or suggestions, the platform has the right to use and exploit them without compensation or legal liability.

5.1. General risks

The platform does not guarantee profits or successful outcomes from using simulations or experiments.

Simulated data may differ substantially from real market data.

5.2. Risks of simulated/algorithmic trading

If you use the platform to simulate strategies or algorithms, risks include:

• Design or algorithm errors: faulty data, incorrect logic, or ineffective algorithms.
• Disconnections or technical failures: loss of connection, orders not sent, or incorrect displayed results.
• Unrealistic assumed market conditions: leading to misleading simulation outcomes.
• Use of inaccurate or delayed data: simulated data may be late or distorted.

5.3. Limitation of liability

The platform is not liable for any losses, damages, or economic outcomes arising from the use of the platform.

Users are fully responsible for testing, supervising, and evaluating strategies or algorithms before applying them outside simulations.

5.4. Legal and financial disclaimers

All information, data, and guidance on the platform are for education, research, and testing purposes only.

Users should not treat them as investment, financial, or gambling advice.

Users should consult financial, legal, or accounting professionals if they intend to apply outcomes outside the simulation.

6.1. Indemnification

Users agree to indemnify and hold the platform harmless, including employees, directors, and agents, against any claims, damages, liabilities, costs and attorney fees arising from:

• Use of the platform;
• Violation of the Terms of Use;
• Violation of laws or regulations;
• User-submitted content on the platform.

7.1. Maximum legal limitations

To the fullest extent permitted by law, the platform is not liable for:

• Lost profits, lost data, replacement costs, or any indirect, special, consequential, or punitive damages.
• Any damages related to the use or inability to use the platform, even if the platform has been advised of the possibility of such damages.

7.2. Specific damage cap

• The platform's total liability for any damages shall not exceed 1,000,000 VND (or an equivalent value in accordance with applicable law).
• Multiple claims do not increase this cap.

7.3. Local law applicability

Some jurisdictions do not permit the exclusion or limitation of liability for indirect damages; therefore, the above limitations may not apply to all users.

8.1. Term and termination

• These Terms take effect when you access or use the platform.
• The platform may suspend or terminate your account at any time for any reason, including violation of the Terms of Use.

8.2. Consequences of termination

• Upon termination, your account and access to the platform will be immediately revoked.
• Certain provisions survive termination: intellectual property rights, indemnification, limitation of liability, and other legal terms.

9.1. Copyright and intellectual property

• All content on the platform, including software, data, interfaces, and designs, is protected by copyright and intellectual property laws.
• Users may not copy, distribute, modify, or commercialize any content without permission.

9.2. Trademarks

• All trademarks, logos, and symbols are the property of the platform or third parties.
• Unauthorized use of trademarks may give rise to legal liability.

10.1. Governing law

These Terms are governed by and construed in accordance with the laws of Vietnam.

10.2. Arbitration and dispute resolution

• Any dispute shall be resolved by arbitration at the Vietnam International Arbitration Center (VIAC).
• Users agree to waive the right to bring claims in court, except for urgent relief needed to protect immediate rights.

10.3. Export control

Users shall not export platform data or technology to prohibited countries or to individuals subject to restrictions under Vietnamese or international law.

10.4. Electronic notices

• Notices between the user and the platform may be sent by email or displayed on the platform.
• Users accept electronic notices as legally binding notifications.

10.5. Entire agreement

• These Terms constitute the entire agreement between the user and the platform.
• Failure to enforce any provision does not constitute a waiver of other rights.

10.6. Severability and effect

If any provision is held invalid under applicable law, the remaining provisions shall remain in full force and effect.
